Terms of Service

Effective Date: April 17, 2025

Welcome to Flexion Studio. These Terms of Service (“Terms”) govern your use of our services and your relationship with Flexion Studio (“we”, “us”, or “our”). By engaging with us, you agree to be bound by these Terms.

1. Our Services

Flexion Studio provides creative and technical services including but not limited to UI/UX design, web development (WordPress, Webflow, Framer, React, Laravel), branding, and consulting.

We reserve the right to update our services at any time. All deliverables, timelines, and project scopes will be clearly communicated and agreed upon before the start of each project.

2. Payments

All projects require a deposit before work begins unless otherwise agreed in writing. Full payment must be made upon final delivery or based on agreed milestones.

Late payments may result in project delays or suspension. We reserve the right to charge a late fee of 5% per month on overdue balances.

Refunds are not provided for completed services or approved work.

3. Intellectual Property

Unless otherwise stated in writing:

• You own the final designs and code upon full payment.

• We retain the right to showcase our work (excluding confidential information) in our portfolio and marketing channels.

All unused design drafts, concepts, and assets remain the intellectual property of Flexion Studio.

4. Timelines & Delays

We commit to delivering projects within agreed timelines. However, delays caused by client feedback, content delays, or scope changes may result in adjusted delivery dates.

If a project is inactive for more than 15 days due to lack of client communication, it may be paused. Inactive projects for over 45 days may be closed with no refund of prior payments.

5. Confidentiality

We treat all client information as confidential. We will not share or use your data outside the scope of our project without your written permission.

Likewise, you agree to not disclose our pricing, workflows, or proprietary methods without our consent.

6. Termination

Either party may terminate the agreement in writing at any time. You will be billed for all work completed up to the termination date.

No refunds will be provided for work already delivered or partially completed unless otherwise agreed.

7. Limitation of Liability

Flexion Studio is not liable for any damages arising from your use of our deliverables, including loss of profits, data, or business interruptions. Our total liability under these Terms shall not exceed the amount you paid for the specific service.

8. Governing Law

These Terms are governed by the laws of Bangladesh. Any disputes shall be resolved in the courts of Noakhali, unless otherwise mutually agreed.
